David Shaheen an experienced business attorney who has practiced law for over 25 years with private law firms and as in-house counsel for public and private companies. Mr. Shaheen began his legal career with the Securities and Exchange Commission as an intern and since then has guided entrepreneurs and growing companies in various stages of development from start-up to public registration. Mr. Shaheen advises clients regarding corporate & securities law, venture development and funding and a wide range of complex business transactions including mergers, sales, acquisitions and equity investments.
Mr. Shaheen has represented public and private companies in diverse fields including emerging technology, finance, natural resources, Internet-based ventures, telecommunications, manufacturing and commercial services, among others. For his entrepreneurial clients, Mr. Shaheen has structured versatile start-up and operating entities including limited liability companies, international joint ventures and corporate holding companies, as well as nonprofit charitable and trade organizations under Section 501(c) of the U.S. Internal Revenue Code. He advises new ventures regarding choice of operating entity and structure and has counseled established companies regarding corporate finance and governance, long-term exit strategies and employment, shareholder and management issues..
Having served as board member and executive officer for both public and private companies, Mr. Shaheen has the perspective to understand and assess issues facing his clients and to formulate creative and pragmatic solutions for them. An experienced negotiator, Mr. Shaheen focuses on securing optimal contract terms for clients and, when needed, resolving disputes to avoid costly litigation.
Mr. Shaheen served as the Chairman of the Corporate Law Committee for the Bar Association of the District of Columbia for five years. Well respected in his field by both clients and colleagues, Mr. Shaheen was nominated by the Bar Association's Election Committee to run for the position of President of the Bar Association.
Mr. Shaheen graduated with honors from the University of Notre Dame and received his Juris Doctorate degree from the National Law Center of George Washington University in Washington, D.C. Mr. Shaheen was a law and business commentator with a weekly segment on Clear Channel's business talk radio show "The Trader's Network" and has been honored for his award-winning business law seminar programs. He has authored articles regarding finance, securities compliance, crowdfunding and other matters pertinent to new and growing companies and has been a frequent lecturer on business transactions and legal issues related to the structure, finance, management and operation of business ventures. Mr. Shaheen is co-author of the book "Start a Business in Maryland, Virginia, or the District of Columbia".
